Legal documents

Every YembiPay legal document carries its own version and effective date and says what it governs. A signed partner agreement controls over anything published here. Nothing on these pages is legal advice.

Review status

These documents are maintained by YembiPay and are published so partners, banks, and regulators can read our position before any live value moves. Independent review by licensed counsel, publication of the contracting entity's registration details, and appointment of a data protection contact are gated launch items and remain open as of September 23, 2026.

What YembiPay is and is not

  • YembiPay is settlement software with compliance controls in the execution path. It is not a bank and it does not take deposits.
  • No deposit insurance scheme, including the Jamaica Deposit Insurance Corporation or the United States FDIC, covers value moving through YembiPay.
  • YembiPay is not currently licensed or registered as a money transmitter, remittance provider, payment service provider, or digital asset business in any jurisdiction. Live value movement is disabled until custody, provider, compliance, governance, and deployment gates are independently satisfied. Applications to the Bank of Jamaica fintech regulatory sandbox and to the Bermuda Monetary Authority are in preparation and have not been submitted. When a licence or registration is granted, the licensed entity and its identifiers will be published here.
  • Stablecoins are not legal tender in the corridors YembiPay serves and are not central bank digital currency. A compliance certificate issued by YembiPay is an evidence artifact, not a regulatory determination.
  • Registration identifiers, the contracting entity, and its physical address are published after founder and legal verification. Contact hello@yembipay.com for current diligence materials.

Order of precedence

Where documents conflict, the order is: a signed partner, sandbox, or services agreement; then the Settlement, Quote, and On-Chain Terms; then the Terms of Service; then the Acceptable Use policy and the AML and Sanctions Statement. The Privacy Policy applies alongside all of them and is not displaced by any of them. The English text of every document controls over any translation.

How these documents change

Each document is revised independently and carries its own version number and effective date. Material changes to the Terms of Service or the Settlement, Quote, and On-Chain Terms are notified to registered organizations at least 14 days before they take effect, by email to registered operators and by notice in the partner dashboard. Changes required by law, by a regulator, or to address a security risk may take effect sooner. Continued use after the effective date is acceptance. Prior versions are available on request from legal@yembipay.com until a public archive is published.
