Important: By accessing or using YembiPay's services, you agree to be bound by these Terms. If you do not agree, do not use our services. These Terms constitute a legally binding agreement between you and YembiPay Inc.
YembiPay Inc. ("YembiPay," "we," "us," or "our") provides B2B stablecoin settlement infrastructure that enables businesses ("Partners," "you," or "your") to settle payments from USDC on the Base blockchain to local currency in recipient bank accounts across supported corridors.
These Terms of Service ("Terms") govern your access to and use of the YembiPay API, dashboard, documentation, and related services (collectively, the "Services").

Upon approval, you will receive API credentials (API key and secret) to access our Services. You are responsible for:
API usage is subject to rate limits as documented in our API documentation. Excessive API calls that degrade service performance for other Partners may result in temporary or permanent suspension of access.
We provide a sandbox environment for testing and development. Sandbox transactions use test data and do not involve real funds. You must not use the sandbox environment for production traffic.
As a Partner, you are responsible for:
YembiPay performs the following compliance checks on every settlement:
We reserve the right to block, delay, or reverse any settlement that fails our compliance screening, even after initial acceptance.
If a settlement is blocked by compliance screening, we will notify you via webhook and API response. We are not obligated to disclose the specific reason for blocking (particularly for sanctions-related blocks, where disclosure may itself violate law).
Fees are charged as a percentage of each settlement amount and vary by corridor. Current fee schedules are available in our API documentation and are subject to change with 30 days' notice.
Exchange rates are sourced from third-party providers and include our margin. Rates are locked for 30 seconds when a quote is generated. We do not guarantee any specific exchange rate beyond the locked quote period.
If a settlement fails after USDC has been transferred on-chain, we will initiate a refund to the originating wallet. Refunds are subject to blockchain transaction fees, which may be deducted from the refund amount.
We target 99.9% uptime for our API. Scheduled maintenance will be announced at least 24 hours in advance via our status page and email.
Settlement times vary by corridor and payment rail. Estimated times are provided in API responses but are not guaranteed. Factors outside our control (bank processing times, local rail outages, compliance holds) may cause delays.
In the event of a stablecoin depeg, wallet freeze, or other emergency, we may temporarily pause all settlements. Partners will be notified via system webhooks (system.depeg_pause, system.wallet_frozen) and our status page.
YembiPay retains all rights to its brand, trademarks, software, and documentation. Your use of our Services does not grant you any ownership rights. You may use "Powered by YembiPay" in your product with our prior written consent.
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the data practices described in the Privacy Policy.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: YembiPay's total liability for any claims arising from these Terms or your use of the Services shall not exceed the total fees paid by you to YembiPay in the twelve (12) months preceding the claim.

Either party may terminate this agreement with 30 days' written notice. We may immediately suspend or terminate your access if:
Upon termination, pending settlements will be completed or refunded. Your obligation to pay outstanding fees survives termination.
Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Delaware, USA. Each party bears its own costs.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.
We may modify these Terms at any time. Material changes will be communicated via email and our API dashboard at least 30 days before taking effect. Continued use of the Services after the effective date constitutes acceptance of the modified Terms.
